Sevyn — Payment Terms Addendum (Member-to-Member Payments)

This Payment Terms Addendum ("Addendum") supplements the Sevyn Terms of Service and applies when you use Sevyn's features to send or receive payments to or from another member through the Service — for example, when a general contractor ("Paying Member") pays a subcontractor or other contractor ("Receiving Member") for an accepted bid (a "Member Payment"). By enabling or using these features, you agree to this Addendum. Capitalized terms not defined here have the meaning in the Terms of Service.

1. Payments are processed by Stripe

Member Payments are processed by Stripe, Inc. and its affiliates ("Stripe"), our third-party payment processor, not by Sevyn. To send or receive Member Payments, you must create and maintain a Stripe Connect account and agree to the applicable Stripe Connected Account Agreement and Stripe Services Agreement (together, the "Stripe Agreements"). The Stripe Agreements govern the payment relationship, including onboarding, identity verification (KYC), holds, reserves, refunds, chargebacks, and payouts. If there is a conflict between this Addendum and the Stripe Agreements regarding payment processing, the Stripe Agreements control as between you and Stripe.

2. Sevyn is software, not a bank or money transmitter

Sevyn is a software platform that helps members initiate and track payments. Sevyn is not a bank, money services business, money transmitter, payment processor, escrow agent, or party to the underlying contract between members. Sevyn does not take possession or custody of, or control, the funds involved in a Member Payment; funds flow through Stripe's regulated payment systems directly to the Receiving Member's connected account. Sevyn's fees, if any, are for use of the software and are separate from the funds owed between members.

3. Relationship between members; no responsibility for the underlying work

A Member Payment relates to an agreement between the Paying Member and the Receiving Member. Sevyn is not a party to that agreement and does not guarantee, endorse, or take responsibility for: the goods or services provided; the quality, timing, or completion of any work; the accuracy of any bid, estimate, or invoice; or any party's performance. Disputes about the work, amount, refunds, or chargebacks are solely between the members. The Receiving Member, as the merchant of record for the Member Payment, is responsible for the goods or services and for resolving disputes, refunds, and chargebacks, and for any applicable taxes on the underlying transaction.

4. Authorization to facilitate collection (agent of the Receiving Member)

For each Member Payment, the Receiving Member appoints Sevyn (acting through Stripe) as its limited agent solely for the purpose of facilitating the receipt of funds owed to the Receiving Member by the Paying Member. A Paying Member's payment of an amount to the Receiving Member through the Service satisfies the Paying Member's payment obligation to the Receiving Member for that amount, even if Sevyn or Stripe is delayed in settling the funds to the Receiving Member. This appointment does not make Sevyn responsible for the underlying obligation or the work.

5. Fees, taxes, and reporting

You authorize the deduction of applicable processing fees and any Sevyn software fees as disclosed at the time of the transaction. Tax reporting (such as IRS Form 1099-K) for amounts received by a Receiving Member is handled by the applicable payment settlement entity in accordance with law; depending on the Stripe Connect configuration, Sevyn may facilitate the issuance of such forms through Stripe. You are responsible for your own tax obligations, including determining and remitting any taxes due on the underlying transaction.

6. Prohibited use

You may not use Member Payments for any transaction that is fraudulent, deceptive, unlawful, or prohibited by the Stripe Agreements or our Acceptable Use Policy, or to evade tax or reporting obligations. We and Stripe may suspend, delay, or reverse payments, or close accounts, to manage risk or comply with law.

7. Disclaimers and liability

To the maximum extent permitted by law, Sevyn disclaims all liability for Member Payments, including failed, delayed, reversed, or erroneous payments; the acts or omissions of Stripe; and disputes between members. The warranty disclaimer and limitation of liability in the Terms of Service apply to this Addendum.

8. Changes

We may update this Addendum as our payment features or legal requirements change, with notice as described in the Terms of Service.
